Freelance Services Agreement

This agreement is between [YOUR NAME / BUSINESS NAME] ("Freelancer") and [CLIENT NAME / BUSINESS NAME] ("Client"), effective [START DATE].

1. Scope of Work

Freelancer agrees to provide the following services:

Anything not listed above is outside the scope of this agreement and may require a separate agreement or additional compensation.

2. Timeline

Freelancer will deliver the completed work by [DELIVERY DATE], provided Client supplies all required materials (content, images, login credentials, feedback) by [MATERIALS DUE DATE].

If Client delays providing materials or feedback by more than [X] business days, the delivery date will be extended by the same number of days.

3. Payment

Total project fee: $[AMOUNT]

Payment schedule:

Late payments will incur a fee of [1.5%] per month on the outstanding balance.

4. Revisions

This agreement includes [2] rounds of revisions. A "revision" means changes to the delivered work based on Client feedback.

Additional revisions beyond the included rounds will be billed at $[HOURLY RATE] per hour.

Revisions do not include changes to the project scope, adding new features, or redoing approved work.

5. Intellectual Property

Upon receipt of full payment, Freelancer transfers all rights to the final delivered work to Client. Client owns the final product.

Freelancer retains the right to display the work in their portfolio and marketing materials unless Client requests otherwise in writing.

Any pre-existing tools, code libraries, or templates used by Freelancer remain the property of Freelancer, with a perpetual license granted to Client for use in the delivered project.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during this project. This includes business plans, customer data, login credentials, and any other sensitive information.

7. Cancellation

Either party may cancel this agreement with [7] days written notice.

If Client cancels: Client pays for all work completed up to the cancellation date. The upfront deposit is non-refundable.

If Freelancer cancels: Freelancer refunds any payment for work not yet delivered.

8. Liability

Freelancer's total liability under this agreement is limited to the total amount paid by Client. Freelancer is not responsible for any indirect, incidental, or consequential damages.

9. Communication

Primary communication will be via [email / Slack / other]. Freelancer will respond to messages within [1 business day].
